Binding Agreement: These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Client,” or “you”) and ApexRouters (“ApexRouters,” “Company,” “we,” or “us”) concerning your access to and use of https://apexrouters.com and associated advisory services.

1. Acceptance of Terms

By accessing our website or requesting consulting deliverables, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an enterprise or other legal entity, you represent that you possess the authority to bind such entity.

2. Scope of Advisory Services

ApexRouters provides professional supply chain advisory, freight rate audit consulting, routing optimization simulations, and technology evaluation services. All formal consulting engagements are subject to dedicated Statements of Work (SOW) or Master Services Agreements (MSA) executed between the parties.

Unless explicitly outlined in a signed SOW, website content and discovery audits do not constitute a binding guarantee of specific carrier pricing or fixed transit performance.

3. Intellectual Property & Proprietary Algorithms

The content, organization, graphics, design, compilation, route simulation frameworks, mathematical models, and other matters related to ApexRouters are protected under applicable copyrights, trademarks, and proprietary trade secret laws. The copying, redistribution, or reverse engineering of any proprietary algorithm or website material is strictly prohibited.

4. Client Data & Confidentiality

We treat all proprietary shipping history, rate tariffs, customer distribution nodes, and internal supply chain metrics submitted to ApexRouters as strictly Confidential Information. We apply enterprise-grade security controls and will never disclose or aggregate client data with unauthorized third parties without written authorization.

5. Disclaimers and Limitation of Liability

The website and informational materials are provided on an “AS IS” and “AS AVAILABLE” basis. ApexRouters disclaims all warranties of any kind, whether express or implied. To the maximum extent permitted by law, ApexRouters shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the website.

6. Indemnification

You agree to defend, indemnify, and hold harmless ApexRouters, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your breach of these Terms.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts situated in Kansas.
